Biography
Max Borg advises business operators and founders, license holders, brands, technology and other ancillary businesses, investors, and funds operating in the emerging legal cannabis industry.
His cannabis practice focuses on mergers and acquisitions (“M&A”), securities offerings, debt financings, restructurings, securities laws compliance, corporate governance, and related commercial transactions. Max also serves as outside general counsel to various licensed cannabis dispensaries, cultivators, and manufacturers, helping them navigate an increasingly complex business and regulatory environment through all stages of the business cycle.
Max combines his legal and business acumen to serve as a trusted dealmaker, helping his clients grow (and eventually sell) their businesses while mitigating risks along the way. His ability to distill complex information regarding how legal issues manifest into business issues creates significant value for his clients, who feel well-educated and empowered to make critical decisions with Max’s counsel.
Max goes beyond his role as an attorney to help his clients build relationships to generate growth for their businesses. With deep connections throughout the cannabis industry on a national basis, he enjoys introducing his clients to potential capital sources, operating partners, skilled employees, and executives, customers, and suppliers.
Max previously practiced law as a partner in the corporate and cannabis groups at a leading law firm based in Boston. Before that, Max practiced law at a leading boutique, cannabis-focused law firm in New York. Max began his career as an associate in the corporate department of a premier New York law firm, where he focused on M&A, public and private securities offerings, debt financings, corporate governance, and general corporate matters. In this position, he also represented debtors, investors, creditors, and other parties in distressed M&A, workouts, refinancings, complex restructurings, and Chapter 11 bankruptcy proceedings.
Outside the Firm
Max enjoys spending time with his family, friends, and dog; playing basketball and golf; cooking; and mindfulness.
Max is actively involved as a Big Brother volunteer with Jewish Big Brothers Big Sisters of Boston.
